This Agreement establishes the terms upon which the Guarantor agrees to provide a limited rental payment guarantee in respect of the tenancy described below.
This Agreement is a standalone commercial guarantee agreement and does not create any tenancy, leasehold interest, partnership, agency relationship, fiduciary relationship, or joint liability between the Guarantor and the Tenant.
2.1 Independence
The Guarantor is not a party to the tenancy agreement entered into between the Landlord and the Tenant.
The tenancy agreement shall remain a separate and independent legal arrangement between the Landlord and the Tenant.
2.2 Coverage
Subject to the terms of this Agreement, the Guarantor's liability is limited solely to contractual rental payments due under the tenancy agreement.
2.3 No Variation
Any amendment, variation, rent increase, extension, renewal, assignment, surrender, or modification of the tenancy agreement made without the prior written consent of the Guarantor shall immediately render this Guarantee null and void.

The Guarantor shall have no liability unless all of the following conditions have been strictly satisfied.
3.1 Mandatory Notification
The Landlord must notify the Guarantor in writing at assure@theguarantor.co.uk within thirty (30) days of the first rental arrears.
Failure to provide such notice shall automatically discharge the Guarantor from all liability.
3.2 Possession Proceedings
The Landlord must commence legal proceedings, possession proceedings, eviction proceedings, debt recovery proceedings, or other formal legal action against the Tenant.
3.3 Evidence Requirement
The Landlord shall provide documentary evidence satisfactory to the Guarantor confirming that legal proceedings have commenced.
3.4 Payment Trigger
Upon receipt and acceptance of such evidence, the Guarantor shall commence payment of guaranteed rent in accordance with Clause 9.
4.1 Early Vacation
If the Tenant vacates the Property, abandons the Property, or otherwise ceases occupation, the Guarantor's liability shall continue for a maximum period of two (2) calendar months following the vacation date.
Thereafter the Guarantee shall automatically terminate.
4.2 Automatic Termination
This Guarantee shall automatically terminate upon the earliest of:
Upon any payment being made by the Guarantor, all rights of recovery against the Tenant shall automatically transfer to the Guarantor.
The Landlord shall execute any documents and provide all cooperation reasonably required to facilitate such recovery.
This Guarantee is personal to the Landlord and may not be assigned, transferred, sold, pledged, or otherwise disposed of without the prior written consent of the Guarantor.
Any attempted transfer shall render this Agreement void.
The Guarantor may provide complimentary guidance regarding possession proceedings and debt recovery.
Court fees, enforcement costs, solicitor fees, bailiff fees, and all litigation expenses shall remain solely the responsibility of the Landlord.
The Guarantor reserves the right to refuse payment where the tenancy agreement is unlawful, fraudulent, forged, unenforceable, or otherwise non-compliant with applicable law.

Tenancy Type: This guarantee applies to the initial fixed term tenancy and any subsequent statutory periodic tenancy, contractual periodic tenancy, renewal tenancy, extension, continuation, or replacement tenancy relating to the same property until the Tenant has lawfully vacated the property or has been formally released in writing by the Landlord.
3.1 Rent Payment
The Tenant shall pay all rent, utility charges, council tax, service charges, and any other amounts due under the tenancy agreement on time and in full.
3.2 Repayment Obligation
If the Provider makes any payment to a Landlord, Letting Agent, Property Manager, or any authorised recipient as a result of the Tenant's default, the Tenant shall reimburse the Provider in full within ten (10) Business Days of written demand.
3.3 Interest on Arrears
Any overdue amount owed by the Tenant to the Provider shall accrue interest at a rate equal to three percent (3%) above the Bank of England Base Rate. In strict compliance with the Tenant Fees Act 2019, such interest shall only be charged where the relevant debt has remained unpaid for fourteen (14) days or more after becoming due and shall accrue daily until payment is received in full.
3.4 Indemnity
The Tenant irrevocably and unconditionally agrees to indemnify and keep indemnified the Provider against:
4.1 Mitigation of Loss and Mediation
Where rent or any other tenancy-related payment remains unpaid for more than fourteen (14) days, the Tenant agrees to cooperate fully with any mediation process, repayment arrangement, alternative dispute resolution (ADR) procedure, or arrears management process reasonably requested by the Provider.
4.2 Assistance in Tenancy Resolution
The Tenant acknowledges that where a continuing default materially increases the Provider's liability, the Provider may act as an authorised representative, agent, or interested third party for the purpose of assisting the Landlord, the Landlord's solicitors, or authorised agents in pursuing lawful remedies. Such assistance may include:
Nothing in this Agreement grants the Provider ownership rights or landlord status in relation to the property.
4.3 Communication and Service of Notices
The Tenant expressly agrees that routine communications, reminders, statements, correspondence, operational notices, and account updates may be sent by Email, SMS, WhatsApp, or other electronic communication methods. However, formal legal notices, default notices, statutory demands, and court-related communications shall be served via verified email and/or registered post to the Tenant's last known address to ensure statutory validity.
5.1 Data Protection
The Provider shall process personal data in accordance with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018, and all applicable privacy legislation.
5.2 Credit Reporting
If the Tenant remains in sustained default, the Provider may issue a Formal Notice of Default. Where the debt remains unpaid for twenty-eight (28) days following such notice, the Provider may report the debt to one or more licensed Credit Reference Agencies (including Experian, Equifax, TransUnion) and debt recovery organisations in accordance with applicable law.
6.1 Not Insurance
The parties acknowledge that this Agreement constitutes a private commercial guarantee arrangement and is not intended to be an insurance contract regulated under the Financial Services and Markets Act 2000.
6.2 Independent Advice
The Tenant confirms that they have been given a reasonable opportunity to obtain independent legal advice before signing this Deed.
6.3 Variation of Tenancy
Any lawful rent review, tenancy extension, tenancy renewal, periodic continuation, amendment, variation, replacement tenancy, or similar change relating to the property shall not release the Tenant from their obligations under this Agreement.
6.4 Continuing Liability
The Tenant's obligation to reimburse, indemnify, and compensate the Provider shall continue until all sums paid, incurred, or payable by the Provider under this guarantee have been repaid in full. Such liability shall survive the termination, surrender, expiry, assignment, or replacement of the tenancy agreement.
6.5 Entire Agreement
This Agreement constitutes the entire agreement between the parties relating to the guarantor service and supersedes all prior discussions, representations, negotiations, or understandings. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
7.1 Immediate Performance Request
The Tenant expressly requests that the Provider commence the guarantor service immediately upon acceptance of this Agreement, prior to the expiry of any statutory cancellation period. The Tenant acknowledges and agrees that once the guarantee has been issued to the Landlord, Letting Agent, or Property Manager, and the service has been fully performed, any statutory right to cancel may be lost in accordance with applicable consumer protection legislation.
7.2 Refund Policy
Once the guarantee has been issued, activated, or relied upon by the Landlord, Letting Agent, or Property Manager, all fees paid shall be non-refundable.
This Agreement and Deed shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to determine any dispute arising from or connected with this Agreement.
